Terms of Service

These Terms govern your use of Kindply websites and services. By using Kindply you agree to them. Contact: hello@kindply.com. Address: Kindply, 142 Joralemon Street, 6th Floor, Brooklyn, NY 11201.

1. The service

Kindply helps businesses draft and manage replies to Google reviews. Features may include a free draft tool, paid subscriptions, waitlist access, and (when Google API access is approved and you connect your account) automated or approval-gated posting of replies to Google Business Profile.

Automatic Google posting depends on Google’s approval of our API access and on your authorization. Until connected, Kindply provides drafts for you to copy or approve manually.

2. Accounts & eligibility

You must use accurate business information and be authorized to manage the Google Business Profile you connect. You are responsible for safeguarding login credentials and for all activity under your account.

3. Subscriptions & billing

Paid plans are billed per location on a month-to-month basis unless otherwise stated at checkout. Founding pricing ($19/mo) is locked for the life of a continuous founding subscription; if you cancel and later resubscribe, then-current pricing applies. Fees are processed by Stripe. Taxes may apply. Except where required by law, fees are non-refundable once a billing period starts.

4. Acceptable use

• Do not use Kindply to harass, deceive, spam, or violate Google’s policies or applicable law.
• Do not attempt to probe, abuse rate limits, or reverse engineer the service except as allowed by law.
• You are responsible for the final content of any reply posted to Google, including replies you approve or configure for auto-post.
• For dental, medical, and similar regulated contexts, do not use Kindply to disclose protected health information; drafts are designed not to confirm patient status, but you remain responsible for compliance.

5. AI drafts

Reply text is generated by automated systems and may be imperfect. Review drafts before posting, especially for low-star reviews. Kindply does not provide legal advice. Apologetic drafts are not an admission of liability by you or by Kindply.

6. Google services

Your use of Google Business Profile remains subject to Google’s terms and policies. Kindply is not affiliated with or endorsed by Google. Google may change APIs or revoke access; we are not liable for Google outages or policy changes.

7. Intellectual property

Kindply’s branding, site, and software are owned by Kindply. You retain ownership of your business content and review replies you create. You grant us a limited license to process that content solely to operate the service.

8. Privacy

Our Privacy Policy describes how we handle personal and Google user data, including Limited Use compliance and deletion on request.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DRAFTS WILL MEET YOUR BUSINESS OR LEGAL NEEDS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINDLY’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO KINDLY IN THE THREE MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR GOODWILL.

11. Indemnity

You will indemnify and hold harmless Kindply from claims arising out of your replies, your Google listings, your misuse of the service, or your violation of these Terms or law.

12. Termination

You may cancel at any time. We may suspend or terminate access for non-payment, abuse, or material breach. Provisions that should survive (including liability limits, indemnity, and IP) survive termination.

13. Changes

We may update these Terms by posting a new version. Continued use after the effective date constitutes acceptance, except where notice or consent is required by law.

14. Governing law

These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules. Courts in Kings County or New York County, New York, have exclusive jurisdiction, except where prohibited.
